Terms of Use and Sale (B2B)

These Terms govern access to and use of the website dermalfillers.store (the "Site") and the placement and fulfilment of B2B orders for products ("Products").

2Scope and B2B status
2.1The Site is intended for business buyers (B2B): legal entities and entrepreneurs purchasing products for professional use/commercial activity.
2.2By placing an order, the Buyer confirms they act as a business, not a consumer (B2C). Consumer rights (including 14-day withdrawal where applicable in B2C) generally do not apply.
2.3The Seller may request company verification (including VAT ID) and may refuse sale or suspend order fulfilment if required details are missing or incorrect.
3Orders and contract formation
3.1Placing an order constitutes the Buyer's offer to purchase Products on the terms stated on the Site and in these Terms.
3.2The contract is formed when the Seller confirms the order (including sending/displaying invoice/payment instructions) and accepts it for fulfilment.

4Compliance with laws and regulations
4.1The Seller acts as an international B2B supplier. Except as expressly provided, the Seller is not responsible for compliance of Products and/or Buyer activity with the laws of countries where the Buyer is registered, operates or uses/resells Products.
4.2By accepting these Terms, the Buyer undertakes to ensure compliance with applicable international and local rules for purchase, storage, handling, use, marketing and distribution of Products.
4.3The Buyer shall obtain and maintain all necessary permits, licences, registrations and notifications for import, trade, marketing and distribution of Products.
4.4Post-marketing obligations (market monitoring, complaints, notifications, recalls) are the Buyer's responsibility.
4.5The Buyer shall comply with handling/sale/reexport restrictions relating to Products and ensure downstream compliance.
5Prices, VAT, customs and other charges
5.1Site prices, unless otherwise stated, exclude import/customs costs.
5.2VAT (EU): For intra-EU supplies, the Buyer must provide a valid VAT ID for B2B treatment. The Seller may request correct data or refuse fulfilment until clarified.
5.3USA and non-EU: VAT does not apply; import charges may apply per destination country.
5.4All taxes, duties, fees and expenses arising from purchase, sale, export/import and further trade are generally borne by the Buyer unless otherwise agreed in writing.
6Payment
6.1Payment method: bank transfer (prepayment).
6.2Shipment is generally made after payment is received.
6.3The «Confirm payment» function notifies the Seller that the Buyer has made the transfer. It does not replace actual receipt of funds or guarantee immediate shipment.
6.4Where the option is shown at checkout, the Buyer may pay by bank card via Stripe Checkout (payments are processed by Stripe). Card payment is available only if the payable amount for the order is within the limit indicated at checkout (currently up to EUR 500 or USD 500, depending on currency/region). The Seller may disable or refuse card payment for specific orders or Buyers.
6.5Clauses 6.1 and 6.2 also apply to card payments where relevant. Clause 6.3 applies only to bank transfer. For card payments, a 5% service fee is added to the order total; the amount to be charged is shown before the Buyer is redirected to Stripe. The Buyer's payment is received when the card payment is successfully completed in accordance with Stripe's rules. The Seller does not store full card data; card processing is carried out by Stripe and may be subject to Stripe's terms and privacy policy.
7Delivery, timing, customs
Delivery conditions, cost and estimated times are published on the Site page «Delivery Information» and/or shown at checkout.
7.2The Seller provides the tracking number (if applicable) to the Buyer after dispatch.
7.3Customs clearance, permits, import restrictions and delays are the Buyer's responsibility as importer/recipient unless otherwise agreed.
8Returns and refunds
Return conditions (including voluntary period, product condition requirements and exclusions) are published on the page «Returns and refunds» and form part of these Terms.
8.2If return is permitted, it is only possible when product condition requirements are met; refund is made after inspection of returned goods.
9Limitation of liability
9.1The Seller is not liable for indirect losses (lost profit, downtime, lost contracts, etc.) unless required by mandatory law.
9.2The Seller's liability is limited to the amount actually paid for the order, except in cases of intent/gross negligence where such limitation is not permitted by law.
10Intellectual property
All Site materials (texts, design, images, interface elements) are protected by intellectual property rights. Any use beyond normal viewing/ordering requires the rights holder's consent unless permitted by law.
11Force majeure
Parties are relieved of liability for non-performance caused by circumstances beyond reasonable control (force majeure) for the duration of such circumstances and a reasonable period to remedy consequences.
12Applicable law and jurisdiction
12.1These Terms are governed by the law of Poland.
12.2Disputes are subject to the competent court at the Seller's registered office (Warsaw, Poland) unless otherwise required by mandatory law or written agreement.
13Changes to terms
The Seller may update these Terms. The new version takes effect upon publication on the Site unless otherwise stated.
